Change in deemed interest due to the following circumstances:

(i) the issue of 1,862,258 new units of CCT to CapitaCommercial Trust Management Limited, the manager of CCT ("CCTML") at a consideration of approximately S$1.4 million in payment of acquisition fee in relation to the acquisition of Wilkie Edge on 12 December 2008;

(ii) the issue of a total of 441,394,329 new units of CCT to SBR Private Limited ("SBR"), E-Pavilion Pte Ltd ("EPPL") and CCTML at a total consideration of approximately S$260.4 million in subscription for the one for one rights issue of CCT on 2 July 2009; and

(iii) the issue of a total of 31,277,336 new units of CCT to CCTML at a total consideration of approximately S$34.7 million in payment of management fees for each quarter from 1 October 2008 to 30 September 2011.

As CCTML, SBR and EPPL are wholly-owned subsidiaries of CL, CL is deemed to have an interest in the above units.
